Role Description
We are seeking a technically excellent and commercially aware M&A Tax Advisor to deliver high-quality tax due diligence reports for buy-side clients and provide M&A tax advice across transactions. This is a standalone, in-house role on a part-time, project-led basis (employed, inside IR35), ideally suited to a Senior Manager or equivalent with strong UK tax expertise and transaction exposure.
The successful candidate will operate as part of our forward-looking, technology-enabled financial due diligence business, with full autonomy over scoping, executing, and delivering tax due diligence outputs. The role is delivery-focused and involves direct client engagement, producing clear and pragmatic advice, and working closely with the wider deal team on live buy-side and sell-side projects. While not a requirement, candidates with an established network and the ability to generate inbound opportunities will be viewed favourably.
The position is inside IR35 to support seamless integration with our advisory team and is designed to offer flexibility in line with client demand, with scope to expand as deal flow increases and as we continue to build our tax capability.

The role is based in London, with flexible or hybrid working arrangements and occasional pre-planned meetings in Chichester. Compensation will be competitive and aligned to project scope and seniority.
Key Responsibilities
- Independently scope, execute, and deliver tax due diligence projects for buy-side clients.
- Prepare red-flag reports that clearly identify, quantify, and prioritise tax risks.
- Draft input into SPAs, including suggested tax warranties, indemnities, and disclosures.
- Lead follow-up Q&A with target companies and their advisers.
- Provide structuring advice on share vs asset deals, tax attribute preservation, and post-deal considerations.
- Deliver clear, client-facing tax advice, adapting communication style for both technical and non-technical audiences.
- Advise founders and shareholders on capital gains, BADR, EMI, and other deal-specific personal tax issues.
- Collaborate with the financial due diligence team to produce integrated Financial and Tax DD reports.
- Develop and maintain internal templates and tax DD frameworks to support repeatable, scalable project delivery.
- Access support from the non-tax team for data, client coordination, and reporting assistance as required.
Qualifications
- CTA, ACA, or equivalent UK qualification.
- 7–10+ years of relevant UK tax experience, including clear exposure to M&A transactions.
- Strong grounding in corporation tax, VAT, employment taxes, and structuring.
- Proven ability to deliver both red-flag and full-scope tax due diligence independently.
- Excellent written reporting skills and pragmatic verbal advice in business English.
- Comfortable advising both technical and non-technical stakeholders.
- Confident operating independently with variable input and changing deal pace.
- Commitment to quality, discretion, and client-first thinking.
