Position: Deputy Company Secretary
Role Type: Full-Time, Permanent
Location: Cambridgeshire (Hybrid with 3 days office based)
Salary guide: £70,000 to £90,000 per annum
We are exclusively partnering with an innovative, listed international technology business to appoint a Deputy Company Secretary. This is an excellent opportunity to join a highly regarded organisation operating across multiple global markets, supporting a senior leadership team and Board within a dynamic and fast-paced environment. The role offers broad exposure across corporate governance, listed company compliance, board support, regulatory matters and strategic corporate activity, making it an ideal move for an experienced governance professional seeking a visible and impactful position.
The Role
Reporting into the Group General Counsel & Company Secretary, the successful candidate will play a key role in supporting the organisation’s governance framework and ensuring compliance with UK listed company obligations.
Key responsibilities will include:
- Supporting Board and Committee processes, including agenda planning, board papers and minute taking
- Coordinating Audit, Remuneration and Nomination Committee activity
- Managing governance registers, conflicts procedures and board governance processes
- Assisting with AGM preparation, shareholder communications and meeting logistics
- Supporting compliance with UK Listing Rules, Market Abuse Regulation and the UK Corporate Governance Code
- Maintaining insider lists and administering share dealing procedures
- Assisting with annual report production and regulatory announcements
- Supporting corporate transactions, including M&A activity, capital raisings and due diligence exercises
- Liaising with external advisers, registrars, auditors and internal stakeholders
- Supporting ongoing compliance with FTSE continuing obligations
About You
Candidates Specification:
- Ideally CGI UK & Ireland qualification (Associate or Fellow) or equivalent
- Prior experience within a listed/PLC environment is essential
- Strong technical knowledge of UK corporate governance and listed company regulation
- Experience supporting Boards and Committees in a public company setting
- Exposure to AGMs, annual reporting and governance compliance processes
- Excellent organisational and stakeholder management skills
- A proactive and commercially minded approach
