Legal Counsel (12-Month Contract)

An exciting opportunity has arisen for an experienced Legal Counsel to join a growing UK technology and SaaS business on a 12-month maternity cover contract.
This innovative organisation provides software solutions and professional services to a broad range of corporate and public sector customers across the UK. With a collaborative and commercially focused legal team, this role offers genuine variety and the chance to become a trusted advisor across the business.
Reporting into senior leadership and working closely with sales, commercial and operational teams, you'll play a key role in supporting complex commercial transactions while helping the business navigate legal risk in a pragmatic and solutions-focused way.
The Role
As Legal Counsel, you will take ownership of a wide range of commercial legal matters, including:
- Drafting, reviewing and negotiating SaaS agreements, software licences, platform agreements, supplier contracts, professional services agreements and reseller/partner arrangements.
- Supporting the sales and account management teams to negotiate customer terms and accelerate deal completion.
- Advising on liability, indemnity, contractual risk allocation and procurement requirements, including public sector contracts and frameworks.
- Providing guidance on data protection matters, including UK GDPR compliance, data processing agreements and international data transfers.
- Advising on intellectual property issues, software licensing and the protection of business-critical assets.
- Working with senior stakeholders to identify, assess and mitigate legal and commercial risks.
- Managing relationships with external legal advisers where required.
- Contributing to the development of contract templates, policies and internal legal processes.
About You
We're keen to speak with commercial lawyers who enjoy working closely with stakeholders and taking a practical approach to legal problem-solving.
You will ideally have:
- Strong commercial contracts experience with the ability to confidently negotiate and advise independently.
- Previous exposure to SaaS, software licensing or wider technology-related contracts.
- A sound understanding of data protection and intellectual property considerations within a technology environment.
- The confidence to communicate complex legal issues clearly and commercially to non-legal stakeholders.
- A pragmatic approach to balancing legal risk with business objectives.
The business is open regarding PQE level, with lawyers around 5 years' PQE and above likely to be well suited. Applications are welcomed from both private practice and in-house lawyers with relevant commercial experience.
