A top-tier US law firm with a strong London presence is seeking to expand its Technology Transactions capability. The firm is known for advising on complex, high-value transactional matters and for giving associates early responsibility within lean, collaborative teams.
The Role
This role sits within a specialist Technology Transactions practice advising on the commercial, technology, IP and data aspects of sophisticated transactions. The work is predominantly transactional in nature and closely aligned with private equity investments, acquisitions, carve-outs and business separations. The successful candidate will work on matters where technology and IP are central value drivers, often in cross-border and strategically significant contexts.
Key Responsibilities
- Advising on technology, IP and data elements of complex corporate and private equity transactions
- Drafting and negotiating a range of commercial and technology agreements, including licensing, outsourcing and transitional arrangements
- Supporting clients on data protection, cybersecurity and emerging technology issues as they intersect with transactional work
- Managing discrete workstreams with a high level of autonomy while working closely with senior stakeholders
Requirements
- Experience in technology transactions, IP-focused commercial work or complex outsourcing and commercial contracts
- Exposure to transactional or quasi-transactional matters, often connected to private equity or complex corporate activity
- Strong drafting skills and commercial judgement
- Confidence in managing and negotiating sophisticated documentation
