Role Overview
We are seeking a commercially minded and proactive Legal Counsel to join our legal team in the United Kingdom. The successful candidate will provide practical and strategic legal advice across a broad range of commercial, corporate, regulatory, and operational matters, supporting business objectives while mitigating legal risks.
Key Responsibilities
Commercial Contracts
- Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
- Customer and supplier contracts
- Service agreements
- Non-disclosure agreements (NDAs)
- Licensing and partnership agreements
- Data processing agreements
- Provide pragmatic legal advice to support commercial negotiations and business growth.
Corporate and Regulatory Matters
- Advise on UK legal and regulatory requirements affecting the business.
- Support corporate governance activities and maintain compliance with applicable laws and regulations.
- Assist with corporate transactions, restructuring activities, and strategic projects.
- Monitor legal and regulatory developments and assess their impact on the business.
Risk Management and Compliance
- Identify and assess legal risks and recommend appropriate mitigation strategies.
- Support the development and implementation of internal compliance policies and procedures.
- Provide guidance on anti-bribery, sanctions, competition law, and other compliance matters.
- Assist with investigations, audits, and regulatory inquiries when required.
Data Privacy and Intellectual Property
- Advise on UK GDPR, Data Protection Act 2018, and related privacy requirements.
- Support privacy reviews, data sharing arrangements, and data protection compliance initiatives.
- Manage intellectual property matters, including trademarks, copyrights, and licensing issues.
Stakeholder Support
- Partner with business teams including Sales, Procurement, HR, Finance, Product, and Operations.
- Deliver timely, practical, and commercially focused legal advice.
- Conduct legal training and awareness sessions for employees.
- Support dispute resolution and litigation management in collaboration with external counsel.
Required Qualifications & Experience
- Strong experience in drafting and negotiating commercial contracts.
- Knowledge of UK corporate, commercial, and regulatory law.
- Experience advising on data protection and privacy matters.
- Excellent legal drafting, analytical, and negotiation skills.
