A rapidly scaling, international enterprise SaaS provider - working with major global financial institutions - seeks a senior, business-minded lawyer to lead complex technology contracting and support the next phase of growth across the UK, US, and Europe. As the organisation expands, the legal team is growing with a senior hire who can own enterprise SaaS negotiations and play a key role in shaping legal strategy.

The Opportunity

This is a senior, sub-GC level role suited to someone with 6-10+ years of experience who is already confident running complex SaaS deals with global banks and wants the breadth, visibility, and trajectory to step into a future GC or Deputy GC position. You will act as the primary legal partner to Sales and Customer Success, lead enterprise SaaS negotiations, and contribute to wider corporate and governance matters. You will also manage and mentor a junior legal counsel (approx. 2 years' PQE).

What You'll Do

Enterprise SaaS Contracting (Core Focus)

• Lead negotiations of complex enterprise SaaS agreements, MSAs, DPAs, SLAs, and SOWs, particularly with UK and US financial institutions.

• Navigate procurement processes, risk assessments, and regulatory requirements common to highly regulated sectors.

• Partner closely with sales leadership to support a fast-paced quarterly sales cycle and accelerate deal closure.

• Develop and refine templates, playbooks, and contracting processes for efficiency and consistency.

Broader Legal & Cross-Functional Support

• Provide pragmatic, commercially oriented legal advice across Product, Security, People, and Finance.

• Manage external counsel on employment, data protection, IP/trademark, and US-specific matters.

• Support responses to supplier due diligence, security questionnaires, and customer audits.

Corporate Governance & Investor Support

• Assist with company secretarial duties, governance cycles, and board-ready materials.

• Support investor communications and help maintain corporate structure and compliance.

• Contribute to strategic initiatives and operational improvements as the business scales.

Team Leadership

• Line-manage and mentor a junior lawyer, helping develop best practices and elevate the legal function.

What We're Looking For

• UK-qualified solicitor with 6-10+ years PQE (flexible for strong deal experience) - LAW FIRM EXPEREINCE REQUIRED.

• Deep experience negotiating enterprise SaaS agreements with banks or other regulated institutions in the UK and/or US.

• Strong understanding of GDPR/UK GDPR, data protection, and cloud/SaaS risk allocation.

• Comfortable with quarterly sales cycles and concurrent complex matters.

• Experience or working knowledge of:

– Company secretarial responsibilities

– Investor relations

– Employment matters

– IP/trademark management

• A pragmatic communicator who balances risk with commercial realities.

• Ambition to grow into a broader leadership role (e.g., Deputy GC or future GC).

Nice to Have

• Experience with US contracting frameworks (NY law / Delaware).

• Background in high-growth SaaS, fintech, or enterprise technology.

• Familiarity with legal operations, CLM tools, or process optimisation.
